CONSULTANT(S):
A. Understands and agrees that he/she and all of his/her employees/representatives are not employees of the DISTRICT and as
such are not entitled to benefits of any kind or nature normally provided employees of the DISTRICT and/or to which
DISTRICT employees are normally entitled, including, but not limited to, State Unemployment Compensation or Workers’
Compensation. CONSULTANT shall assume full responsibility for payment of all Federal, State and local taxes or
contributions, including Unemployment Insurance, Social Security and Income Taxes with respect to CONSULTANTS’
employees.
B. CONSULTANT shall furnish, at his/her own expense, all labor, materials, equipment or other items necessary to carry out
the terms of this Agreement.
C. In the performance of the work covered by this Agreement, CONSULTANT is an independent contractor, with the authority
to control and direct the performance of prescribed work, DISTRICT being interested only in the results obtained.
D. Neither party shall assign nor delegate any part of the services of this Agreement without the written consent of the other
party.
E. The work completed herein must meet the approval of the DISTRICT and shall be subject to the DISTRICT’s general right of
inspection and supervision to secure the satisfactory completion thereof. CONSULTANT agrees to comply with all Federal,
State, Municipal and District laws, rules and regulations that are now, or may in the future, become applicable to
CONSULTANT, CONSULTANT’S business, equipment and personnel engaged in services provided under this Agreement
or accruing out of the performance of such operations.
F. Debarment & Suspension: In accordance with Executive Orders 12549 & 12689, Contractor certified by entering into this
transaction, that neither it nor its principal(s) is presently debarred, suspended, proposed for debarment, declared ineligible, or
voluntarily excluded from participation in this transaction by any federal department or agency.
G. Indemnifications: (a) CONSULTANT agrees to defend any legal action commenced against DISTRICT or its members
caused directly or indirectly by wrongful or negligent acts of CONSULTANT and/or CONSULTANT, CONSULTANT’S
employees, agents or others engaged by CONSULTANT; and indemnify DISTRICT and its members against any liability,
loss, cost, or damage, including attorney fees, resulting from the performance of this agreement. (b) DISTRICT agrees to
defend any legal action commenced against CONSULTANT against any liability, loss, cost, or damage, including attorney’s
fees, resulting from the performance of this agreement.
This Agreement may be terminated by either party notifying the other in writing at least Ten (10) calendar days prior to the date of
termination.
