AGREEMENT TERMS
1. EXPO MANAGEMENT. The words “Expo Management”
designated herein shall refer to Apartment Owners Association, their
officers, employees and agents acting for them in the management
of the Expo.
2. ELIGIBLE EXHIBITORS. Exhibitors may initiate booth con-
struction only after payment is received in full
3. DISPLAY LABOR. Exhibitors are responsible for providing
necessary labor in transporting, uncrating, erecting, dismantling and
re-crating of t
heir displays. These services, if desired may be arranged
for with the Official Expo Decorator.
4. EXHIBIT ST
AFFING. All exhibits must be staffed during show
hours by at least one person. Exhibitors are requested to arrive at least
20 minutes prior to the Expo opening.
5. BOOTH OPERATION. Products may be sold from exhibit
space. Exhibits shall not extend beyond allocated booth space unless
authorized in writing by Expo Management.
6.
EXHIBIT CARE. Contracted janitorial services will sweep a
nd
clean aisles and empty trash canisters. Exhibitors are responsible for
keeping exhibits clean and orderly. Trash must be placed in aisles for
pick up at close of Expo.
7. REMOVAL OF EXHIBITS. Exhibits or displays shall not be
dismantled or removed from the exhibit hall before 5:00 p.m.. Removal of
exhibits will take place after final show hours. Any exhibits not completely
dismantled an
d removed the day the show closes will be removed and
all fees will be charged direct
ly to the exhibitor at prevailing rates. An
additional fee of $500 may be charged the exhibitor if the booth is left
unattended or is dismantled prior to closing at 5:00 p.m.
8. BOOTH ASSIGNMENT. All booth space shall be assigned
by Expo Management. Exhibitors shall not assign, sublet or apportion
the whole or any part of the space assigned or have represent
atives,
equipment or materials from other firms oth
er than his own in the
exhibitor space without written consent of Expo Management.
9. NOISE CONTROL. The use of any sound equipment is
prohibited unless approved in writing by Expo Management. Any elec-
tronic equipment or machinery which is determined to be detracting
from other exhibits will not be permitted and such noise shall cease
immediately.
10. SECURITY. Security shall be provided t
o patrol during the Expo
and after Expo hours. The exhibit h
all must be vacated within one half
hour after the Expo closes. Exhibitors will be allowed to enter the exhibit
hall only upon presentation of a properly signed exhibitor pass.
11. UNOCCUPIED SPACE. In the event an exhibitor fails to
occupy the booth space contracted before 8:00 am on the first day of
the Expo, Expo Management shall have the right to utilize such space in
any manne
r he chooses. This will in no way release the exhibitor from
his or her o
bligations nor shall the exhibitor be entitled to a refund.
12. ARRANGEMENT OF EXHIBITS. AOA will supply standard
booth equipment consisting of a rear background curtain on frame not
to exceed 8' in height, two side dividers of curtains on frames not to
exceed 3'. Self-contained exhibit displays may not exceed more than
8' in backwall height from the floor and must be co
nfined to the rear
one-third of each booth. Such sidewall mus
t be visibly acceptable to
adjoining exhibit displays and ok'd by EXPO Management. In all other
portions of the booth, no display materials shall be placed to exceed a
height of 4' from the floor. Any exceptions must be approved by Expo
Management 30 days prior to show.
13. CANCELLATION. If payment in full is not received by Expo
manage ment on or before 30 calendar d
ays prior to show time, the
only payment acceptable will be cash, money ord
er, or cashier’s check.
A written notice of cancellation is required no later than 90 calendar
days prior to Expo opening and exhibitor is responsible for full pay-
ment of full space contract if not cancelled in writing prior to such
date. In the event exhibitor cancels before such date, exhibitor shall
not be entitled to a refund of his initial deposit.
Any account not paid
in full within 90 days of due date shall bear in
terest at the maximum
rate, permitted by law.

14. NO LIABILITY. Expo Management shall not be responsible
for loss or damage that may result to the exhibitor or his property from
water, fire, explosion, theft, or negligent act of Expo Management or
its officers, employees or agents, or from any other source of cause
whatsoever.
15. INDEMNIFICATION. Exhibitor shall indemnify and hold
harmless from and against a
ny and all claims arising from exhibitors
use of his exhibit space, or from the conduct of exhibitor or from any
activity, work, or things done, permitted or suffered by exhibitor in or
about its exhibit space or elsewhere and shall further indemnify and
hold harmless Expo Management from and against any and all claims
arising from any breach or default in the performance of any obligation
on exhibitor’s part to be performed under the term
s of this Agreement.
Exhibitor further agrees to indemnify and hold Expo Management
harmless from and against all costs, attorney’s fees, expenses and
liabilities incurred in the defense of any such claim or any action or
proceeding brought thereon.
16. COMPLIANCE WITH LAWS. Exhibitor shall utilize its
space in an orderly manner and in compliance with all present and
future applicable federal, state, and local statutes, ordinances, rules
and regulations.
17. SALES LICENSES. All exhibitors who sell merchandise in a
cash and carry manner must adhere to the local licensing procedures
that govern such transactions to ensure they are licensed to do busi-
ness in the city where the Expo takes place.
18. INSURANCE. Exhibitor shall carry and maintain during the
period of any Expo, including move-in and move-out days, and at his
or her sole cost and expense, personal injury and property damage
coverage under a policy of general public liability insurance. Exhibitor
warrants that by signing this contract he or she has complied specifi-
cally with the insurance requirements of this contract.
19. FORCE MAJEURE. Exhibitor shall bear the risk of any pre-
vention, delay, nonperformance or stoppage due to force majeure and
agrees that any such prevention, delay, non-performance or stoppage
shall not entitle exhibitor to any damages a
nd/or refunds from Expo
Management. Force majeure means act of God, riots, epidemics,
landslides, lightning, earthquake, fires, storms, washouts, govern-
mental laws, regulations, proclamations or order of any government,
governmental agency or court, cancellation or withdrawal of permits
by governmental agency, arrest and restraints of government and
people, civil disturbances, and explosions and other causes beyond
the reasonabl
e control of Expo Management.
20. NON-GUARANTEE. Exhibitor acknowledges and under-
stands that Expo Management makes no guarantees, representations
or war ranties regarding product sales, attendance, exclusive privileges
or exhibitor’s successes except for first time exhibitors.
21. FAILURE TO PERFORM. Should the exhibitor fail to observe
any of the terms of this agreement or any of the rules and regulations
for management and control of the Expo, he or she may be prevented
from further exhibits therein with forfeiture of exhibit space rental. Expo
Management reserves the right to prohibit, reject, or eject any display,
in whole or in part or any exhibitor or exhibitor’s representative, with or
without giving cause. No return of rental fee shall be made.
22. ENFORCEMENT COSTS. If suit is instituted to collect past
due amounts, exhibitor agrees to pay the actual cost
s and expenses
of collection, including court costs and attorney’s fees. If action is
instituted on this contract, client promises to pay cost of collection
and such sum as the court may affix as attorney's fees. This contr-
act is entered into and performed in Van Nuys, CA.
23. FLYERS. No Vendor is to leave the booth to distribute flyers
or approach prospects.
24. AMENDMENT TO RULES. Any and all matters or questions
not specifically covered by this Agreement shall be subject solely to
the decision of Expo Management. These rules may be amended at
any tim
e by Expo Management and all amendments so made shall be
binding on the exhibitors equally with the foregoing Agreement.
