Payment shall be made by College check or other reasonable method determined by the College. The
check/payment is to be made payable to the individual designated as the Guest as listed on this Agreement.
It is understood and agreed between the College and the Guest that payment of the compensation specified
in this Agreement, its continuation or any renewal thereof, is dependent upon and subject to the allocation
of funds for the purpose set forth in this Agreement. At the time that this Agreement is made, appropriate
funds have been allocated to compensate the Guest for the fees described herein.
5. Choice of Law: The laws of the State of Maryland shall govern the validity of this Agreement, the
construction of its terms and the interpretation of the rights and duties of the parties hereto.
6. College Policies: Guest Speakers are subject to all college behavior polices including title IX (non-
discrimination) requirements which are incorporated herein and made a part hereof.
7. Background Investigation Policy: As a condition of this Agreement, all Guest
Speakers/Performers/Experts who will be working on any College campus (this includes attending
meetings), may be asked to provide proof of a successful background investigation checks. This
investigation shall include, but is not limited to, verification of credentials, criminal history, and driving
records (as appropriate). The College reserves the right to request documentation from the Guest
S
peaker/Performer/Artist for proof of their ability to work in the United States.
8. Modification of Agreement: This Agreement and any documents incorporated specifically by references
represent the entire agreement between the parties and suspend all prior verbal or written statements or
agreements. This Agreement may be amended only by written amendments duly executed by the Guest
and the College.
9. Indemnification: The Guest shall indemnify and hold harmless the College, its trustees, employees, and
agents for any claim, including legal expenses to defend same that may be brought against such parties for
acts of the Guest. The College at its discretion may require the Guest carry liability insurance (including
malpractice insurance, if warranted) relative to any service that they are performing for the College.
10. Termination: The College may terminate this Agreement for cause at any time with _________
(10, 20,
30) days written notice from the College to the Guest.
11. Entire Understanding: This document and any exhibit attached constitute the entire understanding and
Agreement of the parties, and any and all prior agreements, understandings, and representations are hereby
terminated and canceled in their entirety and are of no further enforced and effective.
12. Unenforceability of Provisions: If any provision of this Agreement, or any portion thereof, is held to be
invalid and unenforceable, then the remainder of this Agreement shall nevertheless remain in full force and
effect.

The parties hereto agree that emailed signatures shall be effective as if originals.
