Use of Third Party Confidential and Proprietary Information

As employees of the Company, many of us are privy to / work with confidential or
proprietary information on a daily basis.
When coming to work for McDermott, either as a contractor or employee, it may be
tempting to bring technology, ideas and proprietary information from your previous
employer to help you undertake work in your new role.
It is important to realize that while McDermott has hired or retained you in part for your
individual knowledge and expertise, it is inappropriate to use, and McDermott does not
authorize or support the use of, any third party confidential and proprietary information or
trade secrets, acquired from a previous employer or work experience. This also includes
information employees or others had access to with a former employer while working on
its behalf.
The unauthorized storage, usage and distribution of such confidential and proprietary
information can generate both personal and corporate liability. To avoid these
consequences, employees and contractors need to abide by the following guidelines:
Understand the risks posed by retaining and / or using, storing or distributing the
confidential and proprietary information of others.
Avoid storing third party confidential or proprietary information on McDermott
servers or in McDermott files.
Former employees and contractors are also prohibited from transferring or using
the Company’s confidential and proprietary information, particularly if they
subsequently work for a competitor.

this matter.
