This agreement is made and entered into by and between ___________________________________________________________,
as Transferor and ___________________________________________________________, as Transferee.
WHEREAS, the Transferor desires to transfer to the Transferee and the Transferee desires to receive from the Transferor certain
obligations relating to agricultural commodity warehousing and merchandising conducted at Transferor’s facilities; and
WHEREAS the parties are required to inform the Indiana Grain Buyers and Warehouse Licensing Agency of the transfer of the
obligations;
NOW THEREFORE, the parties agree as follows:
1. The Transferor, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, has this
day transferred to the Transferee all of its obligations relating to agricultural commodity warehouse and merchandising
activities including, but not limited to, storage, grain bank, warehouse receipts, deferred pricing, and grain accounts payable.
2. The Transferee agrees to assume full and complete responsibility for the obligations transferred under this agreement.
3. The Transferee shall conduct all business related to the transferred obligations in accordance with the laws of the State of
Indiana.
4. The Transferor shall make a copy of all documents relating to all obligations transferred under this agreement and submit
such copies along with a copy of this agreement to the Indiana Grain Buyers and Warehouse Licensing Agency at One
North Capitol Avenue, Suite 600, Indianapolis, Indiana 46204.
