RESOLUTION OF SOLE MEMBER

THE UNDERSIGNED DOES HEREBY RESOLVE THAT ON THIS ____ DAY OF _______ 202__ THAT:
I. SOLE MEMBER. The LLC has a single member. The following is the sole member of the LLC:

II. ACTIONS AUTHORIZED. (name) is authorized, empowered and directed to:
a. Enter into any agreement with Capitol National Bank (the “Bank”) of any nature, including, but not limited to,
depository account, loan account, safe deposit box, night depository, lock box, debit card/ATM card and
cash management agreements (the “Agreements”) on the LLC’s behalf, and those Agreements will bind and be
fully enforceable against the LLC.
III. CONTINUING VALIDITY. This Resolution shall be continuing, shall remain in full force and effect and the Bank
may rely on it until written notice of its revocation shall have been delivered to and received by the Bank at 200 N.
Washington Square, Lansing, Michigan 48933. Any such notice shall not affect any of the LLC’s agreements or
commitments in effect at the time notice is given.
IV. INDEMNIFICATION. The LLC shall indemnify and hold Bank harmless from any and all claims, demands, costs,
liability, loss, damage, or judgments (hereinafter “Claims”) threatened, made or entered by any person or entity
against the Bank as a result of or arising from the Agreements. This inducement to indemnify and hold harmless
specifically includes, but is not limited to, the payment of all actual costs and attorneys’ fees incurred by the Bank
in the processing, handling, and/or defense of the Claims, whether rightfully or wrongfully threatened or made or in
the enforcement of any rights of the Bank hereunder. Furthermore, the LLC shall waive any and all claims, causes
of actions and lawsuits they may have against the Bank as a result of any of the Agreements.
