File your business document online by visiting our website at www.sos.state.mn.us.
All foreign corporations, excluding nonprofits, governed under Minnesota Statutes, Chapter 303 are required to file an
annual renewal once every calendar year. Filing this Annual Renewal does not satisfy any other legal requirement. If
Minnesota statutes or rules require a filing with another office, you must submit that filing separately.
If changes to the name or registered agent and office address are necessary, an amendment along with the annual renewal
form and the applicable filing fee is required. Changes to the chief executive officer’s name and address can be made
once a year by filing the annual renewal form with our office.
1. File Number: Provide the file num
ber issued by the Minnesota Secretary of State.
2. Home Jurisdiction: (Required) List the state or jurisdiction in which this organization is organized.
3. Business Name: (Required) Provide the name of the organization in the jurisdiction in which it is organized.
4. Alternate Name used in Minnesota, if any: List the Alternate Name used in Minnesota, if applicable.
5. Registered Agent, if any and Registered Office Address: (Required) If changes to the registered agent or registered
office are necessary a "Notice of Change of Registered Office/Agent" form and an additional $50.00 filing fee is required.
Submit the “Notice of Change of Registered Office/Agent form with the annual renewal for filing.
6. Name and Business Address of Chief Executive Officer: (Required) Fill in the name and complete business address
of the Chief Executive Officer or other person who carries out the functions as C.E.O. of the corporation.
Email Address for Official Notices. This email address may be used to send annual renewal reminders and other
important notices that may require action or response. Check the box if you wish to have your email address excluded
from requests for bulk data, to the extent allowed by Minnesota law.
List a name and daytime telephone number of a person who can be contacted about this form.
Filing Fee for Annual Renewal: $135 for expedited service in-person and
online filings, $115 if submitted by mail
Filing Fee for Reinstatement: $520 for expedited service in-person and online filings, $500 if submitted by mail
Note: A foreign corporation that has been revoked may reinstate its Certificate of Authority to Transact Business in
Minnesota by completing the current year's renewal and paying a $500 fee if submitted by mail, $520 for expedited service
in-person and online filings.
