(b) the amount of the proposed Draw, when added to the prior Draws, does not
exceed the value of the services rendered, goods received and workmanship
provided to the Property;
(c) no event has occurred and is continuing or would result from the making of the
Loan requested hereby or the consummation of the other transactions
contemplated hereby that would constitute a Default or an Event of Default; and
(d) the proposed Draw will not cause the aggregate principal amount of all
outstanding Draws to exceed the maximum principal amount of the Note.
