INSTRUCTIONS – PROFIT ARTICLES OF INCORPORATION

Article 1:
Enter the name of the corporation. In accordance with RCW 23.95 a corporate name must contain one of the
following words: Corporation, Incorporated, Limited or Company or the abbreviation: Corp., Inc., Ltd. or
Co. A corporate name must be distinguishable upon the records of the Secretary of State from any other
formally organized entity registered with the Secretary of State’s office, such as corporations, limited liability
companies, limited partnerships, and limited liability partnerships. It is advised that you search the Secretary of
State website to see if a name is in use. www.sos.wa.gov/corps
Article 2:
Enter the number of shares the corporation is authorized to issue. There must be at least 1 share authorized in
a corporation.
Article 3:
If preferred stock is indicated an attached description is required. If no selection is made, then class defaults to
common stock.
Article 4:
An effective date may be specified. The effective date can be up to 90 days AFTER the Articles of
Incorporation have been filed by the Office of the Secretary of State.
Article 5:
Perpetual (ongoing until dissolved) or list a specific date or a specific number of years.
Article 6:
All entities must have a registered agent in Washington State RCW 23.95.415
. The Designation of Registered
Agent is used to select the type of agent such as a Commercial Registered Agent, a Noncommercial
Registered Agent, or and Office or Position serving as Registered Agent. The Consent of Registered Agent
must be signed in addition to the name and address provided. All addresses must be in Washington State.
Article 7:
An Incorporator is the person(s) forming the corporation. Please list the full name and address of each
Incorporator. Only one Incorporator signature is required for Article 7. Attach an additional list if necessary.
Additional Information:
You may attach any optional provisions to these articles (please do not attach bylaws or minutes, these items
are not filed with this office).
FEES: The filing fee for the Articles of Incorporation is $180.00. If expedited service is requested then include
an additional $50.00 and write “EXPEDITE” on the outside of the envelope. Make the checks or money orders
payable to “Secretary of State”. (ALL fees are non-refundable and all documents are public record)
