This Addendum is made by the undersigned BUYER and SELLER and is incorporated into and
made a part of the Purchase and Sale Agreement between BUYER and SELLER (the
"Agreement") and pertains to the following property at:________________________________
_______________________________________________________________(the "Property").
BUYER and SELLER agree that the Agreement is modified as follows:
If prior to the full execution of the Agreement, SELLER receives any competitive bona fide
offer(s) to purchase the Property from which SELLER would receive higher net proceeds from
the sale, then BUYER agrees that the Purchase Price shall automatically increase by $
more than any other competitive bona fide offer(s), not to exceed a maximum Purchase Price of
$ ("Maximum Purchase Price"). Prior to amending the Agreement to reflect the
higher Purchase Price, SELLER shall provide BUYER or BUYER's Broker with a copy of the
other competitive bona fide offer(s) with the names of the buyers deleted. If any bona fide
competitive offer includes an escalatory addendum, the automatic increase herein will be
applied to the maximum escalated price of the best competing escalatory addendum, not to
exceed the Maximum Purchase Price.
BUYER and SELLER agree to initial revised parts of the Agreement as to the Purchase Price,
financing amounts, and balance due at closing at the request of the other party. The additional
amounts to be paid by BUYER shall be:

or
[ ] added to the balance due at closing;
or
[ ] a combination of the addition to BUYER’S financing and the balance due at closing so that
the loan amount shall be % of the revised Purchase Price

All other terms and conditions of the Agreement not in conflict herewith shall remain unchanged
and shall remain in full force and effect.
