Certificate of Cancellation of Domestic Limited Partnership

A. 1. Enter the name of the limited partnership exactly as it appears in the originally filed certificate of limited
partnership. In the event the limited partnership changed its name, enter the new name exactly as it
appears on the certificate of amendment previously filed.
2. Enter the date the certificate of limited partnership was filed.
3. Enter the file number (SOSID) assigned to the limited partnership
4. Enter the reason for filing the certificate of cancellation [N.C. G.S. §59-203].
5. Enter the date certain when the certificate of cancellation is to be effective [N.C. G.S. §59-203].
6. This section is optional. If the partners determine they wish to file further information, they may do so
here [N.C. G. S. §59-203(a)(5)].
7. Each general partners must sign this certificate as an affirmation that the facts are true [N.C.G.S. §59-
204].

B. 1. The name entered in B.1. should agree with the name of the limited partnership as it
appears in the partnership agreement, or as later amended and of record in the home state
or country.
2. Enter the name under which the partnership is presently registered and transacting business in North
Carolina.
3. Enter the date the Secretary of State filed the previously submitted certificate of authority.
4. Enter the file number originally assigned to the previously filed certificate of authority.
5. Enter the reason for the cancellation of the certificate.
6. Enter the date certain when the cancellation is to be effective.
7. This section is optional. If the partners determine that they wish to file further information, they may do

8. A general partner must sign this certificate as an affirmation that the facts are true. [N.C. Gen. Statute
§§59-902(a)(9), 59-906].
